2023 Annual Meeting -  2022 Minutes

145th ANNUAL MEMBERSHIP MEETING MINUTES
September 23, 2022
The Grand Floridian Resort and Spa, Lake Buena Vista, FL


WELCOME AND OPENING REMARKS:
Annual Membership Meeting attendees stood for the national anthem. PACB President/CEO, Kevin Shivers, led attendees in the Pledge of Allegiance, welcomed the group, and introduced Roger A. Zacharia, President/CEO of Ambler Savings Bank.
 
Mr. Zacharia welcomed all attendees and recognized the past Chairs of the Pennsylvania Association of Community Bankers. He thanked them for their continued commitment, support, and leadership.
 
CALL TO ORDER:
Chair Zacharia called the meeting to order at 8:30 a.m.
 
APPROVAL OF MINUTES:
Chair Zacharia reviewed the minutes of the 2021 Annual Membership Meeting.
 motion was made to approve the minutes as presented. The motion was seconded and unanimously carried.
 
TREASURER’S REPORT:
PACB Secretary/Treasurer Charles B. Crawford, Jr., Chairman & CEO of Hyperion Bank, reviewed the financial statements of PACB, its subsidiary, and affiliates.
 motion was made to approve the treasurer’s report as presented. Motion seconded and unanimously carried.
 
ELECTION OF OFFICERS AND DIRECTORS:
Secretary Crawford announced the election results for the 2022-2023 PACB Board of Directors. He cast the ballot for the following officers and directors that were elected by written ballot:
 
CHAIRPERSON:              Timothy P. Snyder, President/CEO, Fleetwood Bank
CHAIRPERSON-ELECT:     Scott D. Patton, President/CEO, Mercer County State Bank     
VICE CHAIRPERSON:       Charles B. Crawford, Jr., Chairman/CEO, Hyperion Bank
SECRETARY/TREASURER:   Kelly Montefiori, EVP/COO, Marquette Savings Bank
 
Area Directors
Region 1: Frank Buonomo, Vice President, Public Affairs, Dollar Bank FSB
Region 2: Scott Fritz, President/CEO, Pennian Bank
Region 3: Linda Roehner, President/CEO, Hatboro Federal Savings

Motion made to validate the election results. Motion seconded and unanimously carried.
 
SALUTES:
Secretary Crawford read the “Salutes” to honor and thank those Board members whose terms were concluding, in addition to the Committee Chairs and Vice Chairs for their commitment and service over the past year.

CHAIRPERSON’S REMARKS:
Mr. Zacharia thanked his fellow Executive Committee members, the PACB staff, and both the Board of Directors at PACB and Ambler Savings Bank. He talked about how visiting fellow member banks across the Commonwealth showed him the diversity, complexity, and importance of the community banking industry. He encouraged those who are members of PACB to participate in the organization, as his time as Chair has shown him the true importance and impact of community banks advocating for their industry. Mr. Zacharia reflected on his experience as Chair, letting attendees know that Ambler Savings Bank is on track to end the year as the most profitable in its history, letting attendees know that it is possible to run a successful and profitable bank while committing time to serving as a PACB Board Member. Mr. Zacharia closed by wishing Mr. Snyder success during his term as PACB Chair and committed to continuing his and Ambler Savings Bank’s participation in the Association.
 
INCOMING CHAIR’S REMARKS:
Mr. Tim Snyder thanked Roger for his commitment of time and service during his past year as Chair and presented him with the Past Chair’s salute, plaque, and pin. Mr. Snyder thanked his family, PACB Executive Committee members, Fleetwood Bank’s Board of Directors, PACB staff, PACB Services, and FirstPAC for their support as he begins this opportunity to serve. Mr. Snyder spoke about his hopes for his upcoming term as Chair, in addition to his hopes to help the Association and its members work towards the new mission: To empower community banks to make a positive impact within the communities they serve. Mr. Snyder reflected on his career in community banking and how it has led to him stepping into this role in the Association. Mr. Snyder closed by noting that he is deeply honored to serve as the next Chair of PACB.
 
PRESIDENT/CEO’S REPORT:
Mr. Shivers thanked Mr. Zacharia for his service, commitment, and leadership during his time as Chair. Mr. Shivers reflected on the work he and Mr. Zacharia did over the past year, noting that he believes that PACB is on the right path to achieve the new mission. He then thanked Incoming Chair Mr. Snyder for committing to serving over the next year. Mr. Shivers applauded the membership for their continued hard work as the industry continues to overcome challenges and serve their communities faithfully. He outlined PACB’s new mission and how it will drive the work of PACB’s membership, staff, Board, and Committees. He recognized PACB’s staff, as well as introduced new staff members Mary Lehane, Director of Education and Events; Rich Carter, Vice President of Business Development; and Hannah Foster, Member Engagement Specialist. Mr. Shivers thanked all attendees for their presence at the Annual Membership Meeting and Annual Convention. He encouraged them to take the opportunity of being gathered to strengthen old relationships and forge new ones.
 
FIRSTPAC COMMITTEE AWARDS:
Mr. Shivers introduced the FirstPAC Committee Chair Chuck Leyh, President/CEO, Enterprise Bank, who was not able to attend the Annual Membership Meeting. Mr. Shivers stepped in for Mr. Leyh, first thanking him for his work as FirstPAC chairman, then highlighted the importance of participation in the PAC and thanked all who contributed for their support over the past year. Mr. Shivers introduced the first award, the Chairman’s award, which is given to the bank who has reached or exceeded their PACB-defined FirstPAC contribution goals and has the highest participation from their board and employees.
 
The award was presented to Altoona First Savings Bank.
 
The Advocate of the Year Award recognized the individual who demonstrated their commitment to advocacy on behalf of the industry by contributing more than any other person to FirstPAC during the year.
 
The award was presented to Douglas (Doug) Lockard from Enterprise Bank.
 
The FirstPAC Founder’s Club includes banks who have met their challenge amounts and donated significantly more to FirstPAC than they did in the year previous. The award recipients are as follows:
             Ambler Savings Bank
             Phoenixville Federal Bank and Trust
             Fleetwood Bank
             PennCrest BANK
             Enterprise Bank
             Dollar Bank, FSB
             Marquette Savings Bank
             ESSA Bank & Trust.
 
All banks above were in attendance to accept their awards with the exception of ESSA Bank & Trust. PACB will deliver this award to ESSA Bank & Trust.
 
The Team Award recognizes banks who have met their challenge amounts and show excellence in generating support for FirstPAC among their employees. The Team Award recipients are as follows:
             Altoona First Savings Bank
             Ambler Savings Bank
             Brentwood Bank
             Enterprise Bank
             First Federal Savings and Loan Assn. of Green Co.
             Fleetwood Bank
             Mercer County State Bank
             PennCrest BANK
             Phoenixville Federal Bank and Trust

             Hyperion Bank
             ESSA Bank & Trust

Mr. Shivers then shared and thanked all banks who achieved 100% board director participation in FirstPAC donations. Those banks with 100% participation are as follows:

Mr. Shivers, along with PACB Director of Government Relations, selected the winner of the FirstPAC skills challenge.
 
Mr. Zacharia then thanked all of the Annual Member Meeting corporate sponsors for their support and thanked all members for attending.
 
No further business was discussed.
 motion was made to adjourn the meeting. Motion seconded and unanimously carried.
The meeting was adjourned at 9:20 a.m.
